Results are not guaranteed. Consulting outcomes depend on factors outside our control — your business, market conditions, execution, and third-party tools. We bring professional diligence to every engagement, but we do not warrant or guarantee any specific result, revenue figure, or cost saving. The Site and Services are for businesses and for individuals at least 18 years old and able to form a binding contract. We keep a record of your consent, including the method, date, and time. Consent to receive marketing text messages is not a condition of purchasing any product or service — you can decline SMS and still work with us and complete any purchase or inquiry.
Message frequency varies — for example, you may receive up to a few messages per week, depending on your interactions with us.

You can cancel at any time by replying STOP (or UNSUBSCRIBE, CANCEL, END, or QUIT) to any message. If you revoke consent for one type of message, we treat it as revocation across all of our automated calls and texts, and we honor any reasonable opt-out request within ten (10) business days.

Mobile phone numbers and SMS/text-messaging consent (opt-in) data are never sold, rented, shared, or otherwise disclosed to any third parties or affiliates for their own marketing or promotional purposes. No mobile information is shared with, or transferred to, third parties, affiliates, or lead-generation partners for marketing.
We share phone numbers only with the messaging and telecommunications vendors that operate our texting and calling program on our behalf (for example, our messaging-platform provider), solely so we can deliver the messages you asked for, and those vendors are contractually barred from using the data for any other purpose. Lumina AI Advisory places and receives business calls with prospects and clients. Some calls are recorded for quality, training, and record-keeping, and to log consent. We disclose that a call is being recorded at the start of the call. Florida is an all-party (two-party) consent state; by continuing a call after the recording disclosure, you consent to the recording.
If you give verbal consent to receive calls or texts on a recorded line, we retain a timestamped record of that consent. You may withdraw consent to receive calls or texts at any time as described in Section 4.5 and in our Privacy Policy.

We may suspend or terminate your access, or decline or discontinue an engagement, if you violate these Terms or if we reasonably believe your use poses a risk to Lumina, other users, or third parties.
The Site is free for general informational use. Paid engagements are governed by a separate written agreement — a statement of work, proposal, or master services agreement (each, a "Service Agreement") — signed by you and Lumina. The Service Agreement controls scope, deliverables, fees, payment terms, timelines, and other commercial terms.
If these Terms and a signed Service Agreement conflict as to a specific engagement, the Service Agreement governs for that engagement. Nothing on the Site is an offer, quote, or binding commitment to provide Services at any particular price or on any particular terms.
The Site and its contents — text, graphics, logos, the "Lumina AI Advisory" name and marks, frameworks, methodologies, and software — are owned by or licensed to Lumina and protected by intellectual-property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, or create derivative works from any part of the Site without our prior written consent.
Ownership of deliverables created during a paid engagement is governed by the applicable Service Agreement. Absent a contrary provision, Lumina retains ownership of its pre-existing materials, tools, methodologies, and general know-how.
You retain ownership of materials you provide to us and grant Lumina a limited license to use them solely as needed to perform the Services and to operate and improve our business consistent with our Privacy Policy.
Our Services may recommend, integrate, or fely on third-party products and platforms (for example, automation, messaging, hosting, or AI tools), and the Site may link to third-party websites. We do not control, and are not responsible for, the content, availability, security, or practices of any third party; your use of any third-party product or site is governed by that third party's own terms. A link or recommendation is not an endorsement or a guarantee of performance.
The Site and Services are provided "as is" and "as available," without warranties of any kind — express, implied, or statutory. To the fullest extent permitted by law, Lumina disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting Section 2, we do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that any content is accurate or complete, or that the Services will achieve any particular result. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
To the fullest extent permitted by law, Lumina and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity. arising out of or relating to the Site, the Services, these Terms, or any communications, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.
Lumina's total aggregate liability for any claim arising out of or relating to the Site, these Terms, or any general (non-engagement) use of the Services will not exceed one hundred U.S. dollars (US $100). For paid engagements, any liability cap is governed by the applicable Service Agreement.
As stated in Section 4.7, carriers are not liable for delayed or undelivered messages, and neither Lumina nor any carrier guarantees message delivery. Nothing in these Terms limits liability that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless Lumina and its members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) content or information you provide. We may assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
These Terms, and any dispute arising out of or relating to them, the Site, or the Services, are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles.
The exclusive venue for any dispute is the state or federal courts located in Miami-Dade County, Florida, and each party consents to the personal jurisdiction of those courts.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the current version on the Site. Material changes take effect when posted, unless we indicate otherwise or applicable law requires additional notice. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
If any provision is found unenforceable, the rest remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any applicable Service Agreement, are the entire agreement between you and Lumina regarding the Site and general use of the Services.
